Management Co. Horror Story

Our Management Co. says the Developer does not have to have the Annual Meeting unless he wants to even though our By Laws state it must be help on the second Tuesday in November. They have never had any meeting whereby a quorum of the Board was present. We are still under the developers control but I believe they must still have the annual meeting as it states.
